Mergers and Acquisitions
Experienced management consultants acting in a project management capacity can devote their full time efforts to an assignment which requires dedication and clear focus.In this new era of downsizing very few firms have the experienced manpower available for this critical project. After an acquisition, the challenge is to successfully integrate the two companies together. This includes the organization/corporate culture, systems and procedures, logistics, and a host of problems that, if not resolved quickly, can become very serious and cause the merger/acquisition to fail. The most effective method to deal with the merger is to carefully pre-plan and establish clear goals and objectives. | Problem: | Electronic components OTC manufacturer purchased division of OTC firm of equal size with goal of combining both operations. |
| Action: | Developed performance objectives, budget and
timetable for moving all operations (except for certain
unmovable equipment), administration, and plant personnel
into one location. Negotiated terms and conditions of move with two different unions and key personnel for smooth transition. Moved plant equipment to new location, trained employees on equipment and combined office systems and procedures to provide continued flow of products to customers. |
| Results: | The two operations were successfully combined on-time and within budget. There were no serious personnel or union problems. The smooth flow of finished products and quality were maintained. |
